Unless you expressly indicate otherwise, any Submission you intentionally submit to Licensor for inclusion in the Work is subject to the terms of this License without additional terms. Notwithstanding the foregoing, nothing herein supersedes or will replace or modify the terms of any separate license agreement you may have with Licensor with respect to such Submissions. 2.7 As between you and Zendesk, you are responsible for the compliance of agents and end users with the terms of this Agreement and for all activities that take place under your account. Without limiting the foregoing, you are solely responsible for ensuring that your use of the Services to store and transfer Service Data complies with all applicable laws and regulations, as well as any privacy policies, agreements or other obligations you may have or enter into with agents or end users. You also retain full responsibility for determining whether the Services or the information they generate is accurate or sufficient for your purposes. Subject to a limit on the number of individual agents available under the applicable Service Plan(s) you have subscribed to or the applicable Connected Service provided, access to and use of the Services will be limited to the specified number of individual Agents authorized as part of your subscription to the applicable Service. You agree and acknowledge that each Agent is identified by a unique username and password (“Login”) and that an Agent Login may only be used by one (1) person. You won`t share an agent connection with multiple people. You and your agents are responsible for maintaining the confidentiality of all your account credentials.
You agree and acknowledge that you may not use the Services, including but not limited to the API, to circumvent an individual agent`s connection request for each person who (a) uses the Services to interact with End Users; (b) process the data in the context of interactions with end-users; or (c) without any further license from us, process data in connection with interactions from a third-party service that provides functionality similar to the functionality provided by the Services and that would require the registration of an individual agent under this Agreement if the Services are used for such interaction. Zendesk reserves the right to periodically review whether your use of the Zendesk Services complies with the Agreement and the Service Plan Restrictions on our Website. If Zendesk determines that your use of a Zendesk Service does not comply with this Agreement or the limitations of the Service Plan on our Site, Zendesk reserves the right to charge you for such use in addition to other remedies available to us, and you hereby agree to pay for it. The purpose of this Agreement is to determine the terms under which Subscriber may purchase Zendesk`s Services and Consulting Services as described in a Purchase Order or Statement of Work signed by you. This Agreement, including all Order Forms, attachments, Additional Terms, Statements of Work, Data Processing Agreements (“DTAs”) and all Business Partnership Agreements (“BAAs”) (if any), constitutes the entire agreement between you and Zendesk with respect to the Services and/or Consulting Services to be provided by Zendesk and supersedes all prior agreements.
